Description
The share purchase agreement (share transfer agreement) sets out the terms and conditions governing the purchase and sale of the company’s shares. It is an essential contract used in mergers and acquisitions and other transactions in which ownership of shares is transferred from one party (the Seller) to another (the Buyer).
The contract is prepared for the conclusion of a contract between a private person and a legal entity. Compiled in accordance with the requirements of the Commercial Code. The template of share purchase agreement consists of the following clauses:
